Gwiza Terms of Service

These Terms of Service ("Terms") govern your use of the Gwiza application and the website at gwizafintech.com (together, the "Service"), operated by Gwiza Fintech LTD ("Gwiza", "we", "us", or "our"), a company registered in Rwanda (Company TIN 156157915), 17 KG 676 Street, Amahoro, Kimihurura, Gasabo, Kigali, Rwanda.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. By using the Service you confirm that you meet these requirements and that the information you provide is accurate.
2. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You agree to provide accurate information and to keep it up to date.
- Notify us promptly at admin@gwizafintech.com if you suspect unauthorised use of your account.
3. What the Service does
Gwiza is a personal financial operating system. It helps you record, organise, and understand your own money through features such as a transaction ledger, budgets, goals, reports, an investment simulator, and Advisor Gwiza. The Service is a tool to help you manage your finances; it does not provide regulated financial, investment, legal, or tax advice.
4. Payments and our non-custodial model
- Gwiza is non-custodial. Where the Service offers payment functionality, Gwiza initiates payment instructions at your request. It does not hold, receive, or control your funds. Money moves between your own accounts and the recipient through licensed payment partners (for example, RSwitch / eKash and the relevant mobile money operator or bank).
- You are responsible for the accuracy of any payment details you provide (such as recipient and amount). Once you authorise a payment, it may not be reversible.
- Payments are executed by partners under their own terms and timelines. We are not responsible for delays, failures, or errors caused by a partner, a network, or by inaccurate details you provide, except to the extent required by law.
- Payment-initiation features are provided subject to the regulatory authorisation described in Section 12.
5. Automatic transaction tracking from SMS (Android)
On Android, with your explicit permission, the Service can read financial messages on your device to record transactions automatically, as described in the Privacy Policy. This feature is optional. You can decline it and enter transactions manually, and you can turn it off at any time. You are responsible for reviewing recorded transactions for accuracy.
6. Advisor Gwiza and informational content
- Advisor Gwiza and other guidance, projections, and the investment simulator are provided for general information and educational purposes only. They are not financial, investment, legal, or tax advice, and do not create any advisory or fiduciary relationship.
- AI-generated responses may be incomplete or inaccurate. Investment figures and projections are illustrative only, are not a forecast or guarantee, and past or simulated performance does not guarantee future results.
- You are solely responsible for your financial decisions. Consider seeking advice from a licensed professional before acting.
7. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- access or use another person's account or data without authorisation;
- attempt to disrupt, reverse-engineer, scrape, or gain unauthorised access to the Service or its systems;
- upload malicious code or interfere with the security or integrity of the Service.
We may suspend or restrict access where we reasonably believe these Terms have been breached.
8. Fees
We will tell you clearly before you incur any fee for the Service. Where the Service is offered free of charge, we may introduce or change fees in future, with reasonable advance notice, and your continued use after a change takes effect constitutes acceptance.
9. Intellectual property
The Service, including its software, design, brand, and content, is owned by or licensed to Gwiza Fintech LTD and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal use under these Terms. You retain ownership of the data you enter; you grant us the rights needed to operate the Service and provide it to you, as described in the Privacy Policy.
10. Third-party services
The Service relies on third-party providers (for example, hosting, database, AI, email, and payment partners). Their services are governed by their own terms, and we are not responsible for their acts or omissions beyond our reasonable control.
11. Disclaimers and limitation of liability
- The Service is provided "as is" and "as available." To the maximum extent permitted by Rwandan law, we disclaim all implied warranties, and we do not warrant that the Service will be uninterrupted, error-free, or that automatically recorded transactions, projections, or AI responses will be accurate or complete.
- To the maximum extent permitted by law, Gwiza is not liable for indirect, incidental, special, or consequential losses, or for loss of profits, data, or goodwill.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Rwandan law, including under applicable consumer-protection law.
12. Regulatory status
Gwiza Fintech LTD operates on a non-custodial basis and is currently applying to the National Bank of Rwanda (BNR) for authorisation as a Payment Initiation Service Provider under Regulation N° 74/2023. We are not yet authorised by the BNR. Payment-initiation features are provided subject to obtaining that authorisation and, once granted, will operate under BNR supervision. We will update these Terms when our authorisation status changes.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; data handling on termination is described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for significant changes, notify you in the app or by email. Your continued use after changes take effect constitutes acceptance.
15. Complaints, governing law, and disputes
- For complaints, contact admin@gwizafintech.com and we will investigate and respond. Data-related complaints may also be raised with the NCSA (see the Privacy Policy); once Gwiza is authorised, payment-service complaints may be escalated to the BNR.
- These Terms are governed by the laws of Rwanda. The courts of Rwanda have jurisdiction over any dispute, without prejudice to any mandatory rights you have under applicable law.
16. General
These Terms are the entire agreement between you and Gwiza regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or transfer of our business.
